Listing Agreement
1. Good Standing
Listee is a licensed attorney in the State of North Carolina and a member, in good standing, of the North Carolina State Bar.
2. Effective Date
The effective date shall be the date of Listee’s posting on www.mytrianglelawyer.com.
3. Placement or Ranking
Placement or ranking on a page is random and rotates. You will appear at all ten positions on a rotating basis.
4. Renewals
Listee will NOT automatically renew for subsequent years but may renew if they are in good standing with the NC State Bar and meet the criteria of acceptance.
5. Payment
Triangle Lawyers reserves the right to change pricing from year to year. Payment is due within thirty (30) days from date of invoice. You will be mailed an invoice after acceptance and posting to the website.
6. Advertising Content
Listee is solely responsible for ensuring the material submitted to Triangle Lawyers is accurate, and if applicable, complies with the ethical requirements of the North Carolina State Bar and any applicable North Carolina and Federal law. Listee is responsible for updating and maintaining current content on www.mytrianglelawyers.com (the “Site”). Listee shall provide Triangle Lawyers with any changes to their content on the Site as soon as reasonably possible to ensure the most accurate information is being provided to the public.
7. Default
Listees are subject to removable from the Site if their account remains unpaid after forty five (45) days from date of invoice. In the event of default, Listee agrees to pay Triangle Lawyers reasonable expenses, including all attorney fees and costs incurred in enforcing its rights under this agreement.
8. Indemnification
Listee agrees to indemnify and hold harmless Triangle Lawyers, LLC from any and all demands, liabilities, losses, costs and claims, including reasonable attorney’s fees asserted against Triangle Lawyers, LLC, its agents, its members and employees, that may arise or result from any service provided or performed by Listee, its agents, employees or assigns.
9. Cancellations
Upon written notice or e-mail notification, Listee will be removed from the Site within a reasonable time.
10. Refunds
Listees will not be refunded any portion or prorated share of the annual fee under any circumstance.
11. Term
A term is one calendar year beginning from the effective date.
12. Governing Law & Jurisdiction
The terms and conditions of use of this Site are governed by the laws of the State of North Carolina. You consent and agree that the state or federal courts of North Carolina will have exclusive jurisdiction and venue over any action or controversy that may arise. The failure of either party to enforce any rights hereunder shall not constitute a waiver of any terms or conditions contained herein.
13. Severability of Provisions
If any provision of this agreement is found to be unlawful, void or unenforceable, then that provision shall be deemed severable from the remaining provisions and shall not affect their validity and enforceability.
14. Modification to Website
Triangle Lawyers, LLC may modify the content on www.mytrianglelawyer.com at any time without prior notice or your consent.
15. Copyright
The information contained in or provided by you for www.mytrianglelawyer.com is the sole property of Triangle Lawyers, LLC which may be copyrighted and may not be modified, copied, distributed or reproduced, in whole or part, without the prior written consent of Triangle Lawyers, LLC.
16. Termination
Triangle Lawyers, LLC may terminate this agreement at any time without recourse.
17. Guarantee
Triangle Lawyers, LLC does not guarantee traffic usage and impression levels, the validity of impressions, traffic or “clicks” or the placement of Internet Advertising on any website. All Internet Advertising will conform with the editorial standards of the web hosting provider. We do not warrant that your Listing will result in any revenue or profit.
18. Advertising and Marketing
Advertising and Marketing of www.mytrianglelawyer.com is directly related to the number of Listees who join the Site, the links placed on the Listees own website and any fees or contributions made to Triangles Lawyers, LLC. Generally speaking, the greater number of Listees, the greater the advertising and marketing.
